3. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information required for project completion
• Grant necessary access to hosting accounts, domain registrars, CMS platforms, and other tools
• Review and approve deliverables within agreed timelines
• Communicate feedback, concerns, or change requests promptly
• Make timely payments according to agreed payment terms
• Ensure all content (text, images, videos) provided is legally owned or licensed for use

4. Payment Terms

Deposits: Most projects require a 50% deposit before work begins. Deposits are non-refundable once work has commenced.

Payment Schedule: Payments are due according to milestones or monthly billing cycles as outlined in your service agreement.

Late Payments: Invoices not paid within 15 days of the due date may incur a late fee of 5% per month. We reserve the right to pause or suspend services for overdue accounts.

Refunds: Refunds are handled case-by-case based on project progress and the specific service agreement. Generally, completed work is non-refundable.

5. Intellectual Property

Client Ownership: Upon full payment, you own the final deliverables (website code, designs, content) created specifically for your project. We retain the right to use project work in our portfolio and marketing materials unless otherwise agreed.

Third-Party Assets: Stock photos, fonts, plugins, themes, or software used in your project may have their own licenses. You are responsible for complying with these licenses.

ApexForge IP: Our proprietary processes, methodologies, templates, and business practices remain our intellectual property.

6. Project Timelines

We provide estimated timelines for project completion. These are estimates and not guarantees. Delays may occur due to client feedback delays, scope changes, technical issues, or third-party dependencies. We will communicate any delays promptly and work to minimize disruptions.

7. Revisions and Change Requests

Most projects include a specified number of revision rounds (typically 2-3). Additional revisions or significant scope changes beyond the original agreement will be billed separately at our standard hourly rate or agreed-upon pricing.

8. Warranties and Disclaimers

Service Warranties: We warrant that services will be performed professionally and in accordance with industry standards.

No Guarantees: We do not guarantee specific results such as SEO rankings, website traffic, conversion rates, or revenue increases. Digital marketing performance depends on many factors outside our control.

Third-Party Services: We are not responsible for outages, errors, or issues caused by third-party services (hosting providers, payment processors, plugins, etc.).

Disclaimer: Services are provided "as is" without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law, ApexForge Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, data, or business opportunities. Our total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

10. Termination

By Client: You may terminate services with 30 days' written notice. You will be responsible for payment for all work completed up to the termination date.

By ApexForge: We may terminate services immediately if you breach these Terms, fail to make payments, provide false information, or engage in abusive behavior toward our team.

Effect of Termination: Upon termination, you will receive all completed work. Ongoing services (hosting, maintenance) will cease. Outstanding invoices remain due.

11. Confidentiality

We respect your confidentiality and will not share sensitive business information with third parties except as required by law or with your permission. Both parties agree to maintain confidentiality of proprietary information shared during the course of business.

12. Indemnification

You agree to indemnify and hold ApexForge Digital harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, content you provide, violation of these Terms, or infringement of third-party rights.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Minnesota, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Minneapolis, Minnesota, or in the federal or state courts located in Hennepin County, Minnesota.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.
